Affiliated Agent has the meaning set forth in Section 12.C.iii.

Affiliated Agent means an Agent that has been authorized by a Sponsoring Agent to utilize such Sponsoring Agent's Viator Marketplace account to process Transactions, as described more fully in Section A-1.

• The Client shall have no direct or indirect rights or causes of action against any Affiliated Agent, nor shall any Affiliated Agent have any responsibility or liability to any Client of the Custodian.

• If you have been invited by a Sponsoring Agent to register for use of the Viator Marketplace and/or are authorized by a Sponsoring Agent to process Transactions on their Viator Marketplace account, then you are an Affiliated Agent.

• The Custodian shall not be responsible or liable to the Client for any loss caused, directly or indirectly, by (a) any failure or delay to act by any service provider (other than an Affiliated Agent as identified in Section 12.C.ii.

• The Client understands and agrees that notwithstanding any delegation by the Custodian of any of its obligations and duties to any affiliate of the Custodian (defined as an “Affiliated Agent”), no such agreement with any Affiliated Agent shall discharge the Custodian from its obligations or liabilities hereunder, and the rights of the Client with respect to the Custodian extend only to the Custodian and do not extend to any Affiliated Agent of the Custodian.

• Subject to Section 3,C., in no event shall the Custodian be responsible or liable for the acts, omissions, default, insolvency, negligence, gross negligence, misconduct or fraud of any other third party that is not an Affiliated Agent (as defined herein), including any liquidity provider, counterparty, or third-party vendor.

• Nothing in this Agreement shall be construed to create the relationship of employer-employee between the Company and the General Agent or any Affiliated Agent.

• Carrier programs that offer bonus commission for production earned as a result of Cover Oregon business will be collected by Cover Oregon and passed through based on Cover Oregon Affiliated Agent production for that Carrier.

• In addition, in no event will the Custodian be responsible or liable for the acts, omissions, default, insolvency, negligence, gross negligence, misconduct or fraud of any other third party that is not an Affiliated Agent, including any exchange, liquidity provider, counterparty, or third-party vendor.
