In addition to the sale of the Shares and the NLLC Membership Interests described in Section 1.1, in order to facilitate the Business Conveyance, RSI agrees to convey or transfer to the Allied Parties all Affiliated Rights at the Closing, except for any Affiliated Rights that are to be retained by Ryder pursuant to Section 1.3.
