AFI Business definition

AFI Business shall have the meaning set forth in the Separation and Distribution Agreement.

AFI Business means (a) the business, operations and activities of the Resilient Flooring and the Wood Flooring segments of AWI conducted at any time prior to the Division Effective Time by either Party or any of their current or former Subsidiaries and (b) except for the Retained Legacy Matters (as defined in the Separation Agreement) (which are expressly excluded from the AFI Business), any terminated, divested or discontinued businesses, operations and activities that, at the time of termination, divestiture or discontinuation, primarily related to (i) the business, operations or activities described in clause (a) as then conducted, or (ii) any other business operations or activities previously conducted as part of the flooring business of AWI and its Subsidiaries, including those set forth on Schedule 1.2 of the Separation Agreement.

Examples of AFI Business in a sentence

  • The Parties shall use the procedures set forth in Article VII to resolve any disputes as to whether any information relates solely to the AWI Business, solely to the AFI Business, or to both the AWI Business and the AFI Business.
