Examples of Agent’s Message in a sentence
Except as provided below, unless the Notes being tendered are deposited with the Tender Agent at or prior to the Early Tender Date or the Expiration Date, as the case may be (accompanied by a properly completed and duly executed Letter of Transmittal or a properly transmitted Agent’s Message), Xxxxx Beauty may, at its option, treat such tender as defective for purposes of the right to receive the Total Consideration or the Tender Offer Consideration, as applicable.
A Letter of Transmittal and the Certificate(s) (or, in the case of Surrendered Shares held in book-entry form, an Agent’s Message) must be received by the Paying Agent, in satisfactory form, in order to make an effective surrender.
Notes being tendered in the Offers and either (i) the completed DTC participant’s Agent’s Message or (ii) the completed and duly executed Letter of Transmittal must be received by the Tender Agent in accordance with the terms described in this Offer to Purchase at or prior to the Early Tender Date (for you to be eligible to receive the Total Consideration) or after that date and at or prior to the Expiration Date (for you to be eligible to receive the Tender Offer Consideration).
The method of tendering Notes and delivering the Letter of Transmittal, any required signature guarantees and all other required documents, including delivery through DTC and any acceptance of an Agent’s Message (as defined below) transmitted through ATOP, is at the election and risk of the person tendering Notes and delivering the Letter of Transmittal and, except as otherwise provided in the Letter of Transmittal, delivery will be deemed made only when actually received by the Tender Agent.
