Aggregate Common Shares definition

Aggregate Common Shares means, as of any date of determination, the sum of (i) the aggregate number of shares of Company Common Stock issued and outstanding, plus (ii) the aggregate number of shares of Company Common Stock issuable upon the conversion of all issued and outstanding shares of Company Preferred Stock in accordance with the Company Charter.
Aggregate Common Shares means the total number of shares of United Common Stock issued and outstanding as of the Agreement Date.
Aggregate Common Shares means the total number of Common Shares outstanding as of the Effective Date after giving effect to the Plan (but excluding all Common Shares issued or issuable under the MIP).

  • The Company and the Commitment Parties shall use commercially reasonable efforts to take or cause to be taken all actions, and do or cause to be done all things, reasonably necessary, proper or advisable in order to cause the Reorganized Company Organizational Documents to reflect such number of Aggregate Common Shares.

Aggregate Common Shares means the fully diluted number of Common Shares of the Reorganized Company before taking into account issuances of Common Shares pursuant to the MIP.
