Aggregate Note Consideration definition

Aggregate Note Consideration means, subject to the first proviso in Section 3.3(b)(iii), Notes having an aggregate principal amount equal to (I) $75,000,000 minus (II) the Seller’s Representative Expense Fund.
Aggregate Note Consideration has the meaning assigned to it in the Merger Agreement.
Aggregate Note Consideration means a principal amount of Subordinated Notes specified by Purchaser at least five (5) business days prior to the Closing in circumstances where the provisions of Section 3.1(b) apply, which principal amount shall not exceed the Maximum Note Consideration.
