Agreed Number definition

Agreed Number means, with respect to the New Cline Common Shares, that number of New Cline Common Shares to be issued on the Plan Implementation Date pursuant to the Plan as agreed to by the Applicants, the Monitor and Marret (on behalf of the Secured Noteholders).
Agreed Number shall have the meaning as set forth in Section 2(b).
Agreed Number of shares of the Company's Next Financing Stock that may be purchased by the Holder upon the exercise of this Warrant shall mean the quotient determined by dividing (a) the initial principal amount of the Note issued by the Company to the Holder by the Exercise Price.

More Definitions of Agreed Number

Agreed Number shall have the meaning as set forth in Section 2(b). (b) "Business Day" means any day other than Saturday, a Sunday or a day on which the New York Stock Exchange is closed or on which banks in San Francisco are required or authorized by law to be closed. (c) "Change of Control" means (A) a consummation of the acquisition of more than 50% of the outstanding stock of the Company (other than a stock financing principally for capital raising purposes), (B) the consummation of a merger, consolidation or other reorganization of the Company, if after giving effect to such merger, consolidation or other reorganization of the Company. the stockholders of the company immediately prior to such merger, consolidation or other reorganization do not hold a majority of the outstanding equity securities of the surviving or resulting entity after such merger, consolidation or other reorganization, or (C) the sale of all or substantially all of the stock of the Company to a third party. Nowithstanding the foregoing. any such Change of Control shall be limited to the reorganization of the Company as contemplated in that certain term sheet dated October 27. 20 I 0 by and among the Company and Seahawk Capital Partners. Inc .. as such term sheet may be amended from time to time (the "Term Sheet"). (d) "Exercise Price" means 100% of the purchase price per share of the Next Financing Stock, as adjusted from time to time pursuant to Section 4 hereof. (e) "Exercise Period" shall have the meaning set forth in Section 2(a).
Agreed Number means, with respect to the LPRC Class A Voting Common Shares, LPRC Preferred Shares, LPRI Class A Voting Common Shares and LPRI Multiple Voting Common Shares to be issued on the Plan Implementation Date pursuant to this Plan, the number of such shares as is, in each case, agreed to by the Applicants, the Monitor and the Majority Initial Consenting Noteholders; provided that (i) the Agreed Number of LPRC Preferred Shares shall be equal to the Agreed Number of LPRI Multiple Voting Common Shares, (ii) the Agreed Number of LPRC Class A Voting Common Shares shall be equal to the Agreed Number of LPRI Class A Voting Common Shares, and (iii) the aggregate number of LPRC Preferred Shares issued on the Plan Implementation Date pursuant to this Plan shall be equal to three (3) times the aggregate number of LPRC Class A Voting Common Shares issued on the Plan Implementation Date pursuant to this Plan.
Agreed Number means the number of Warrant Shares for which this Warrant has not become vested and exercisable, equal to the positive difference, if any, of (i) twenty-five million (25,000,000), minus (ii) the sum of (A) all vested and exercisable Media-Based Incentive Warrant Shares as of the effective date of a Fundamental Change, taking into account the acceleration provision of Section 1.1(a)(ii) of the Media-Based Incentive Warrants plus (B) all Warrant Shares for which this Warrant has become vested as of the effective date of such Fundamental Change, without taking into account the acceleration provisions of Section 1.1(a)(ii) hereof.

  • Contract Number means, with respect to any Contract included in the Trust, the number assigned to such Contract by the Servicer, which number is set forth in the related Schedule of Contracts.

Based on the Location Routing Number, the querying Carrier then routes the call to the Switch serving the ported number. The term "LRN" may also be used to refer to a method of LNP. "Long Distance Service" (see "Interexchange Service").
