Agreement Term definition

Agreement Term has the meaning set forth in Section 11.1.

Agreement Term means the period of time commencing on the Effective Date and, unless this Agreement is terminated sooner as provided in Article 19, expiring on the date when no royalty or other payment obligations under this Agreement are or will become due.

• If this Agreement is not terminated in accordance with the above paragraph, the Agreement Term will renew automatically at the end of the Term for a period equivalent to the expiring Term on the same terms of the Agreement, other than the Access Fees which shall be increased by any amount specified in the Access Order or Quote.

• There is no termination for convenience within each Term and any pre-paid or owed Access Fees will not be reimbursed nor credited within the Agreement Term.

• All references to the term of this Agreement or the Agreement Term shall include any extensions of such term.

• The Seller hereby waives in favor of the Buyer any and all Moral Rights it may have pursuant to any Laws in respect of any Proprietary Materials and Developed Intellectual Property created by the Seller and/or its employees, personnel or contractors, and agrees to cause its employees, personnel or contractors to waive any such Moral Rights during the Agreement Term.

• Grantee gives Grantor, and their employees and agents written permission to access the Project Site at least once every 12 months from the date of Grantor’s Notice to Proceed until 25 years after the end of the Agreement Term for purposes of inspections and monitoring (Project Site Access).

More Definitions of Agreement Term

Agreement Term means the period beginning on the Effective Date and ending on the date of termination or expiration of this Agreement, as the case may be.

Agreement Term means the period commencing on the Agreement Effective Date and ending on the earlier of (i) the Agreement Regular Termination Date or (ii) the date this Agreement terminates pursuant to Section 8. The “Agreement Regular Termination Date” means the third anniversary of the Agreement Effective Date, provided, however, that commencing on the first anniversary of the Agreement Effective Date, and on each subsequent anniversary (such date and each subsequent anniversary shall be hereinafter referred to as the “Renewal Date”), unless this Agreement is previously terminated, the Agreement Regular Termination Date shall be automatically extended for three years from the latest Renewal Date, unless at least one month prior to the latest Renewal Date, the Company shall give notice to the Executive in accordance with Section 11(c) of this Agreement that the Agreement Regular Termination Date shall not be so extended.

Agreement Term shall begin on the Effective Date and shall continue through December 31, 2007, subject to the following:

Agreement Term means the total time covered by the Initial Term and all Extension Terms for each Order or SOW under this Agreement, further specified in Section 7.1.

The Company may in its complete and sole discretion, at any time and from time to time, extend the Agreement Term by giving a written notice to the Executive; provided, however, that if an agreement has been executed by the Company or any of its affiliates that contemplates a transaction that will be a Change in Control when consummated, the Agreement Term will be automatically extended until the earlier of the date of such consummation or the termination of such agreement prior to any such consummation.

Agreement Term shall begin on the Agreement Date and shall continue through December 31, 2008. As of December 31, 2008, and on each December 31 thereafter, the Agreement Term shall automatically be extended for one additional year unless, not later than the preceding June 30, either party shall have given notice that such party does not wish to extend the Agreement Term. If a Change in Control shall have occurred during the Agreement Term (as it may be extended from time to time), the Agreement Term shall continue for a period ending on the two-year anniversary of the date of the Change in Control, but if the Termination Date (as defined below) occurs during that two-year period, then the Agreement Term shall continue until the end of the Severance Period (as defined below). Unless the Termination Date occurs during the two-year period after a Change in Control so that the Agreement Term is extended to include the Severance Period, as provided in the immediately preceding sentence, the Agreement Term shall not extend beyond the two-year anniversary of the Change in Control.
