AHS Cash Payment shall have the meaning ascribed to it in Section 2.3(a).

Purchaser shall deliver the AHS Cash Payment in immediately available funds by electronic wire transfer in the amounts and to the accounts designated by AHS on the Closing Date for purposes of repaying the Bank Indebtedness and consummating the Tender Offer.
