Air Products means Air Products Public Limited Company (company number 00103881), Air Products (BR) Limited (company number 02532156) and Air Products Renewable Energy Limited (company number 08443239) whose registered offices are at Hersham Place Technology Park, Molesey Road, Walton On Thames, Surrey, KT12 4RZ and any successor in title to the apparatus; and

Air Products means Air Products and Chemicals, Inc.

• With regard to the matters specified in the preceding clauses (i) and (ii), Air Products shall have a right to consent to any compromise or settlement related thereto.

• None of Air Products, Versum or the applicable Distribution Agent will guarantee any minimum sale price for the fractional shares of Versum Common Stock.

• Neither the Distribution Agent nor the selected broker-dealers will be Affiliates of Air Products or Versum.

• This Agreement (including Article VI hereof) may be terminated, modified or amended and the Distribution may be amended, modified or abandoned at any time prior to the Separation Time by and in the sole discretion of Air Products without the approval of Versum or the stockholders of Air Products.

• If additional premiums are payable, or return premiums are receivable, on any Company Policies after the Separation Time as a result of an insurance carrier’s retrospective audit of insured exposure, Air Products shall be responsible for any such additional premiums, and shall be entitled to receive any such return premiums.

Air Products means Air Products, its directors, officers, employees, agents, representatives, successors, and assigns; and the joint ventures, subsidiaries, divisions, groups and affiliates controlled by Air Products (including Airgas, after the Acquisition Date) and the respective directors, officers, employees, agents, representatives, successors, and assigns of each.

Air Products means Air Products as herein before defined and any successor to its business and/or assets as aforesaid which executes and delivers the agreement provided for in this Section 6 or which becomes bound by all the terms and provisions of this Agreement by operation of law or otherwise. This Agreement will inure to the benefit of and be enforceable by your personal or legal representatives, executors, administrators, successors, heirs, distributees, devises and legatees, but neither this Agreement nor any of your rights or obligations hereunder may be assigned or pledged by you. If you should die while any amounts would still be payable to you under Subsection 4B hereof if you had continued to live, all such amounts, unless otherwise provided herein, will be paid in accordance with the terms of this Agreement to your devisee, legatee or other designee or, if there be no such designee, to your estate.

Air Products means Air Products, Incorporated and/or Air Products and Chemicals, Inc., as the case may be. "Ancillary Agreements" means the agreements set forth on Part D of Schedule 1.1. "Antitrust Division" means the Antitrust Division of the United States Department of Justice. "Assumed Liabilities" shall mean (a) all current liabilities of the Business to the extent included in the Final Closing Working Capital, (b) the obligations under the Contracts arising exclusively from, and accruing exclusively with respect to, the operation after the Closing Date of the Business, whether known or unknown, absolute, contingent or otherwise and whether due or to become due, and (c) liabilities and obligations relating to the Transferred Employees expressly assumed by Buyer pursuant to Article IX. "Base Purchase Price" means Five Hundred Sixty-Five Million Dollars ($565,000,000). "Base Working Capital" means the working capital of the Business as of June 30, 1996 which Seller has calculated as set forth on Part F of Schedule 1.1. "Basket Amount" means 0.75% of the Final Purchase Price. "Benefit Plan" has the meaning set forth in Section 3.16(b). "Benefited Property" has the meaning set forth in Section 5.9(c). "Bio-Lab Lease" means the Land Lease dated December 20, 1994 between Seller and Bio-Lab, Inc. "Burdened Property" has the meaning set forth in Section 5.9(c). "Business" has the meaning set forth in the recitals hereto.
