The Borrower shall have duly executed and delivered to the Administrative Agent the Aircraft and Spare Engine Mortgage.
The Security Trustee will be entitled to the benefits of Section 1110 (as currently in effect) with respect to the right to take possession of the Pledged Aircraft, Pledged Engines and Pledged Spare Parts as provided in the Aircraft and Spare Engine Mortgage or Spare Parts Security Agreement, as applicable, in the event of a case under Chapter 11 of the Bankruptcy Code in which the Borrower is a debtor.

Promptly upon the recording of the Aircraft and Spare Engine Mortgage (with Mortgage Supplement No. 1 attached) pursuant to the Act, the Borrower will cause Aviation Counsel to deliver to the Administrative Agent and the Borrower an opinion as to the due recording of such instruments and the lack of filing of any intervening documents with respect to the Pledged Aircraft and the Pledged Engines.
