Upon delivery by Buyer of the Confirmation Notice, the Deposit will be non-refundable and shall be applied toward the Purchase Price upon Seller tendering the Aircraft for delivery to Buyer in the Delivery Condition and in compliance with the requirements of the Aircraft Purchase Agreement or the Deposit shall be released to Seller subject to the terms and conditions of the Aircraft Purchase Agreement.
The Company and the Buyer have entered into an Airbus A321 NEO Aircraft Purchase Agreement of even date herewith (the “Agreement”) which covers, among other matters, the sale by the Seller and the purchase by the Buyer of certain Aircraft, under the terms and conditions set forth in said Agreement.
The Company confirms that it has entered into each Aircraft Purchase Agreement with the applicable Manufacturer pursuant to which the Company has agreed to purchase, and such Manufacturer has agreed to deliver, the New Delivery Aircraft in the months specified in Schedule I hereto, all on and subject to terms and conditions specified in such Aircraft Purchase Agreement.
The Company confirms that it has entered into the Aircraft Purchase Agreement with the Manufacturer pursuant to which the Company has agreed to purchase, and the Manufacturer has agreed to deliver, the Eligible Aircraft in the months specified in Schedule I hereto (which months are subject to change as provided in the Aircraft Purchase Agreement), all on and subject to the terms and conditions specified in the Aircraft Purchase Agreement.
