Each of AIRO Group and Merger Sub is a corporation duly organized, validly existing and in good standing under the Laws of the jurisdiction of its incorporation.
This Agreement has been duly executed and delivered by Holdings, AIRO Group and Merger Sub, and (assuming due authorization, execution and delivery by each other party hereto) this Agreement constitutes a legal, valid and binding obligation of Holdings, AIRO Group and Merger Sub enforceable against Holdings, AIRO Group and Merger Sub in accordance with its terms.

No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement or any Ancillary Document based upon arrangements made by or on behalf of Holdings, AIRO Group or Merger Sub.
