Akerna Exchange desires to enter into that certain Share Purchase Agreement (“SPA”) by and between Akerna Exchange, the Company, and Wilcompute Systems Group Inc.

In connection with each exercise of the Exchange Right or the Put Right, Akerna or Callco, as the case may be, shall provide to the Trustee an Officer’s Certificate setting forth the calculation of the Exchangeable Share Price.
This provisions of this Indenture may be waived, altered, amended or supplemented, in whole or in part, only by a writing signed by Akerna, the Shareholder Representative and the Rights Agent.
