All Reasonable Endeavours definition

All Reasonable Endeavours means, in the case of either Party, with respect to any Product, those efforts and resources that a biotechnology or medical device company would typically devote to a product owned by it or to which it has rights of the type it has hereunder, which is of similar market potential at a similar stage in its development or product life, taking into account its relative potential safety and efficacy, competitive position, pricing and launching strategy, proprietary position and profitability and other relevant legal, medical, regulatory, scientific or technical factors. In no event shall “All Reasonable Endeavours” when applied to OCD be interpreted to require OCD to cease its development or commercialization of OCD Existing Products.
All Reasonable Endeavours means that the Contractor shall:
All Reasonable Endeavours means that the Contractor shall: in relation to the preparation, submission and processing of any Planning Application made in the name of the Contractor incur all reasonably necessary expenditure and do all the things reasonably necessary (including the commencement and prosecution or defence of Proceedings in accordance with and subject to the provisions hereof) and in doing so shall exercise all proper care and skill to secure or procure the grant of Satisfactory Planning Permission; prepare all documentation and supporting information in accordance with good planning practice; respond to all other queries of the Planning Authority or [ ] promptly; (subject to paragraph 2.6 (Appeal Contingency)) meet the costs of any Proceedings such costs to include the cost of instructing Leading Counsel (including for the purposes of deciding whether to initiate or pursue Proceedings) and securing the services of any expert witnesses considered necessary for the purpose of such Proceedings; provide forthwith copies to the Authority of all instructions (including enclosures) given to Leading Counsel and opinions received from Leading Counsel relating to such Proceedings in respect of any Planning Permission sought. The Authority’s Representative shall be entitled to attend any conference with Leading Counsel and the Contractor shall endeavour when arranging such conference to agree a convenient time for attendance by the Authority’s Representative; and in relation to any Judicial Review Challenge, provide to the Authority all such assistance as it reasonably requires to the extent that the provision of such reasonable assistance does not cause the Contractor to incur any material expense (on each individual occasion or in the aggregate); provided always that this paragraph 2.2 shall not require the Contractor to join as interested party in any Judicial Review Challenge

Examples of All Reasonable Endeavours in a sentence

  • Quotient will also use All Reasonable Endeavours to incorporate attributes into the Products that OCD reasonably believes are normally required by Regulatory Authorities in Territory B and that are above and beyond the attributes for Products required for Territory A.

  • OCD shall use All Reasonable Endeavours to complete all formalities and activities necessary to obtain Regulatory Approvals required for Products in Territory B.

  • Quotient shall be responsible for all development and shall use All Reasonable Endeavours to complete all formalities and activities necessary to obtain Regulatory Approvals required in Territory A.

  • OCD must use All Reasonable Endeavours to start Commercializing the Products within [***] after the Approval Date in such country, provided that Quotient performs its obligations to supply Product as provided in this Agreement as necessary to enable such Commercialization in such country.

  • In the event that any information subsequently comes to the attention of the Authority which suggests that the Contractor has failed to use All Reasonable Endeavours prior to the date of the Contractor’s request pursuant to this paragraph 2.1.7 then any such written confirmation provided by the Authority pursuant to paragraph 2.1.7 (a) or failure to provide written confirmation pursuant to paragraph 2.1.7(b) shall be disregarded.

  • If the Contractor has not used All Reasonable Endeavours the provisions of Schedule Part 17 (Compensation of Termination) shall not apply and the Authority shall not be liable to the Contractor for any compensation on termination.

  • OCD shall comply, and shall use All Reasonable Endeavours to procure that its customers shall comply with, all applicable Trade Restrictions relating to the performance of its obligations under this Agreement and the Commercialization of the Products in the Territory, as applicable.

  • However the key change to the permitting regime does in fact relate to the compensation on termination provisions which state that failure to obtain a satisfactory permit (after having used All Reasonable Endeavours) will result in termination on the basis of force majeure.

  • If the Contractor has not used All Reasonable Endeavours the provisions of Schedule 17 (Compensation of Termination) shall not apply and the Authority shall not be liable to the Contractor for any compensation on termination.

  • In respect of the Pebsham PPC Permit the Contractor shall use All Reasonable Endeavours to Obtain a Satisfactory Pebsham PPC Permit in accordance with clause 9B.2.

Related to All Reasonable Endeavours

  • Reasonable Best Efforts means best efforts, to the extent commercially reasonable.

  • Reasonable Efforts means, with respect to any action required to be made, attempted, or taken by an Interconnection Party or by a Construction Party under Tariff, Part IV or Tariff, Part VI, an Interconnection Service Agreement, or a Construction Service Agreement, such efforts as are timely and consistent with Good Utility Practice and with efforts that such party would undertake for the protection of its own interests.

  • Commercially Reasonable Efforts means [***].

  • Reasonable pupil means a pupil, including, but not limited to, an exceptional needs pupil, who exercises average care, skill, and judgment in conduct for a person of his or her age, or for a person of his or her age with his or her exceptional needs.

  • Best Efforts the efforts that a prudent Person desirous of achieving a result would use in similar circumstances to ensure that such result is achieved as expeditiously as possible.
