No member of the Allied Group is (a) an "investment company" as defined in, or subject to regulation under, the Investment Company Act of 1940 or (b) a "holding company" as defined in, or subject to regulation under, the Public Utility Holding Company Act of 1935.

The Allied Group maintains insurance in such amounts and covering such risks and liabilities as are in accordance with normal industry practice.
Each member of the Allied Group owns, or has valid rights to use, all Intellectual Property necessary for the conduct of its business as currently conducted, except for any failure to so own or license Intellectual Property which, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.
