Allocation Share definition

Allocation Share means Buyer’s most recent PCIA-vintaged share of RPS Energy, as determined by Seller, through Seller’s load forecasting processes to establish energy procurement revenue requirements for rate-setting purposes, within Energy Resource Recovery Account and/or Resource Adequacy proceedings, or successor proceedings. As of the Confirmation Effective Date, Buyer’s Allocation Share is listed in Appendix E.

Examples of Allocation Share in a sentence

  • Each Member holding an Allocation Share shall have all the rights, privileges and obligations set forth herein pertaining to holders of Allocation Shares.

  • A person may not become a Member without acquiring a Series A Senior Convertible Preferred Share or otherwise acquiring a Common Share or Allocation Share.

  • The Allocation Shares shall be certificated in the form of an Allocation Share Certificate.

  • The holders of Allocation Shares shall not be entitled to vote with respect to any issue relating to the Company notwithstanding the Act or other applicable law, except as provided in Article X (in which case, the holders of Allocation Shares shall have one vote per Allocation Share).

  • Full payment of the total issue price of each Discretionary Allocation Share must be made by the qualified investors who have received such allocation not later than the Settlement Date (as defined below), all without prejudice to the pre-funding provided for in this Clause and subject to as provided in the last paragraph of Clause 2.1 above.

  • A person may not become a Member without acquiring a Series B Preferred Share or otherwise acquiring a Common Share, Series B Preferred Share or Allocation Share.

  • The holders of Allocation Shares shall not be entitled to vote with respect to any issue relating to the Company notwithstanding the Act or other applicable law, except as provided in Articles X and XII (in which case, the holders of Allocation Shares shall have one vote per Allocation Share).
