Alternate Purchaser definition

Alternate Purchaser means, with respect to a Conduit, each Purchaser identified as an Alternate Purchaser for such Conduit on Schedule I to the Note Funding Agreement or in the Joinder Supplement or Transfer Supplement pursuant to which such Conduit became a party to the Note Funding Agreement, and any permitted assignee thereof.

Alternate Purchaser means each Person listed as such for a Conduit Purchaser (or as the sole Purchaser if the related Purchaser Group has no Conduit Purchaser), as set forth on the signature pages of this Agreement or in any Assumption Agreement or Transfer Supplement.

Alternate Purchaser means a Purchaser other than a Conduit Purchaser.

• Each Alternate Purchaser shall, on the terms and subject to the conditions hereof, upon the Seller’s request and related Conduit Purchaser’s denial or other failure to make a Purchase, fund Purchases before the Termination Date, based on its Purchaser Group’s Ratable Share of each Purchase requested under Section 1.2(a) (and, in the case of each Alternate Purchaser in a Purchaser Group, its respective Percentage).

• In the event of any such assignment or grant by such Conduit Purchaser to a related Alternate Purchaser or other Program Support Provider, such assigning or granting Conduit Purchaser shall be released from its obligations hereunder to the extent of such assignment and such Alternate Purchaser or Program Support Provider shall for all purposes have all the rights and obligations of such assigning or granting Conduit Purchaser hereunder to the same extent as if it were the original Conduit Purchaser.

• Implementation of the Plan will begin on the Effective Date, and distribution of the Purchaser Notes and Alternate Purchaser Notes to the Noteholder Claimants (as discussed below) will begin on the Distribution Date.

• As soon as practicable after the Noteholder Claimant Election Form Deadline, the Monitor shall advise the Purchaser of the number and face value of Alternate Purchaser Notes to be issued in accordance with the Noteholder Claimant Elections and the Acquisition Agreement.

• The Seller agrees that each related Alternate Purchaser and Program Support Provider of any Conduit Purchaser hereunder shall be entitled to the benefits of Section 1.7 and Section 1.8.
