AM Business definition

AM Business means certain subsidiaries, assets and liabilities, including approximately 1,200 patents and patent applications, of Fujitsu Semiconductor Limited, a Japanese corporation (“Fujitsu”), acquired by Borrower on August 1, 2013 for purposes of acquiring Fujitsu’s business of designing, developing, marketing and selling analog semiconductor and microcontroller products.
AM Business means the fabless business of design, development, marketing, distribution and sale of AM Products.

Examples of AM Business in a sentence

  • The Seller has made available to the Buyer true, correct and complete copies of each Business Contract (including any amendments or supplements thereto), except for redaction of pricing and royalty terms and other terms that are not related to the AM Business.

  • Within forty (40) days after the Closing (or forty-five (45) days after the Closing if the Closing does not occur on the 1st day of a calendar month), the Seller shall prepare and cause its independent auditor to review financial statements for the AM Business, for the periods (i) between April 1, 2013 to the Closing Date and (ii) between April 1, 2013 to June 30, 2013 (collectively, the “Stub Financial Statements”).

  • The AM Business Financial Statements are qualified by the fact that the AM Business has not been operated as a separate “stand-alone” business by the Seller and the Affiliates of the Seller.

  • Commencing on the date Tenant shall occupy the Demised Premises for the conduct of its business, there shall be one (1) freight elevator serving the Demised Premises and the entire Building on call on a "first come, first served" basis on Business Days from 8:00 A.M. to 5:00 P.M., and on a reservation, "first come, first served" basis from 5:00 P.M. to 8:00 A.M. Business Days and at any time on days other than Business Days.

  • Schedule 3.21(a) of the Seller Disclosure Schedules lists the top ten (10) customers of the AM Business on the basis of annual revenues for the twelve (12) months ended December 31, 2012.

  • Except as set forth in Schedule 3.20 of the Seller Disclosure Schedules or as otherwise expressly set forth herein, upon consummation of the Closing there will be no material assets (other than Patents) owned by any Seller Party that are exclusively used in the AM Business.

  • Schedule 3.21(b) of the Seller Disclosure Schedules lists the top ten (10) suppliers of the AM Business on the basis of cost of goods and services purchased or licensed for the twelve (12) months ended December 31, 2012.

  • Schedule 3.11(a) of the Seller Disclosure Schedules sets forth a true, correct and complete list of all Real Property leased by any Seller Party and primarily used in the operation of the AM Business.

  • Except as set forth in Schedule 3.15 of the Seller Disclosure Schedules, none of the Seller Parties is (i) subject to any Order that is related and material to the AM Business, or (ii) a party to any pending Proceeding that is related and material to the AM Business or, to the Knowledge of the Seller Parties, Threatened Proceeding that is related and material to the AM Business.

  • Except as set forth in Schedule 3.14(a) of the Seller Disclosure Schedules, no Seller Party has received any written notice of, and the Seller Parties have no Knowledge of, any existing or alleged violation of a material nature of any Applicable Laws and/or Orders applicable to the AM Business.
