Amalgamation Application definition

Amalgamation Application means the amalgamation application that will be filed with the Registrar under subsection 275(1)(a) of the BCBCA in order to give effect to the Amalgamation, substantially in the form attached hereto as Schedule C;
Amalgamation Application means the amalgamation application as contemplated by the BCBCA and in substantially the form set out in Exhibit “B” hereto;
Amalgamation Application means the amalgamation application in respect of the Amalgamation required by section 275(1)(a) of the Act to be filed with the Registrar, together with any changes to that application as permitted under this Agreement or as agreed to by the Amalgamating Parties;

  • The conditions set out in this Part 7 are conclusively deemed to have been satisfied, waived or released when, with the agreement of the Parties, the Amalgamation Application and Articles are filed under the BCBCA to give effect to the Amalgamation.

More Definitions of Amalgamation Application

Amalgamation Application means the Form 13 - Amalgamation Application prescribed by the BCBCA effecting the Amalgamation, in the form attached hereto as Appendix II, together with any changes to that application as permitted by this Agreement or as agreed to by the Amalgamating Corporations;
Amalgamation Application shall have the meaning set forth in Section 1.1.
Amalgamation Application means the Form 13 to be jointly completed and filed by AIM and Xxxxx with the Registrar of Companies under the BCBCA, substantially in the form set forth in Schedule B hereto giving effect to the Amalgamation of Subco and Xxxxx upon and subject to the terms of this Agreement.
Amalgamation Application means the Form 13 Amalgamation Application, which is required to be filed with the Registrar along with the Final Order and the Plan of Arrangement in order to effect the Amalgamation under the BCBCA;
Amalgamation Application means, collectively: (i) a completed Form 13 – Amalgamation Application (in the form attached as Appendix A hereto), (ii) an affidavit of an officer or director of each of Fundco and Subco required under section 277(1) of the BCBCA; (iii) a copy of this Agreement or directors’ resolutions approving the Amalgamation; and (iv) the applicable filing fee.
Amalgamation Application means the Form 13 Amalgamation Application which is required to be filed with the Registrar along with the Final Order and the Plan of Arrangement in order to effect the Amalgamation under the BCBCA;
Amalgamation Application means the amalgamation application to be submitted by the Company, Canndora and SubCo to the registrar under the BCBCA with respect to the Amalgamation, prepared and conforming to the terms set forth in this Agreement.
