In the event that AMC declares that it will not exercise its right to commercialize or license its interests in such AMC Invention or AMC Technical Developments to any third party, then AMC, to the extent it is legally able, will grant to NIH a license (with right to sublicense) to make, use, sell, offer for sale, import and export such AMC Invention or AMC Technical Developments.
AMC will provide to Pfizer forty-five (45) days’ advance written notice of AMC’s intention to abandon any Patent on a AMC Invention, and Pfizer will have the right to continue prosecution of such Patent or patent application at Pfizer’s sole expense.
