The Company shall have delivered to Purchaser a certificate executed by its Secretary certifying with respect to (i) a copy of the Amended Articles and the Amended Regulations, (ii) resolutions of the Board authorizing the transactions contemplated by this Agreement and the other Transaction Documents, (iii) copies of all minutes of all meetings (or excerpts thereof) of the shareholders of the Company approving the Shareholder Proposals and (iv) incumbency matters.
CBI has made available to IXC prior to the execution of this Agreement complete and correct copies of its Amended Articles of Incorporation and Amended Regulations, as amended to the date of this Agreement.
Eaton has filed with the SEC, prior to the date of this Agreement, complete and accurate copies of the Amended and Restated Articles of Incorporation of Eaton (the “Eaton Articles of Incorporation”) and the Amended Regulations of Eaton (the “Eaton Regulations”) as amended to the date hereof.

Prior to the Effective Date, the CRCC will take all necessary actions to amend its 2004 Amended Regulations to reflect the changes in the Board of Directors and the Executive Committee during the Transition Period as herein provided, in accordance with Article XIII of said 2004 Amended Regulations.

The Company and Seller shall perform their respective obligations under this Agreement, Amended Regulations, Time Brokerage Agreement, Construction Agreement, in each case in accordance with the terms thereof.
