Amendment Approval means any written evidence that the City has agreed to the LA Agreement Amendment including, without limitation, if an authorized representative from the City’s Los Angeles Department of Transportation (“LADOT”) confirms in an email or other writing that LADOT agrees to the modifications required for the LA Agreement Amendment. Purchaser will draft and provide to the City Purchaser’s draft of the required LA Agreement Amendment with the authorized representative that provided the Amendment Approval within 5 business days following receipt of such approval in writing. Purchaser and the Company agrees not to include any other proposed amendments to the LA Agreement in such draft of the LA Agreement Amendment without the prior written consent of Seller.

Related to Amendment Approval

  • CPUC Approval means a final and non-appealable order of the CPUC, without conditions or modifications unacceptable to the Parties, or either of them, which contains the following terms:

  • Development approval means a document from a governmental entity which authorizes the commencement of a development.

  • IRB approval means the determination of the IRB that the research has been reviewed and may be conducted at an institution within the constraints set forth by the IRB and by other institutional and federal requirements.

  • MAA Approval means approval of an MAA by the applicable Regulatory Authority for marketing and sale of a Product in the Collaborator Territory, but excluding any Pricing and Reimbursement Approval.

  • L/C Amendment Application means an application form for amendment of outstanding Letters of Credit as shall at any time be in use at the Issuing Bank, as the Issuing Bank shall request.

  • Initial approval means authorization to admit students and enter into contractual agreements for clinical facilities. It is granted only after an application has been submitted, reviewed and a survey visit made by the Board. No students shall be admitted to the program until the institution has received written notification that initial approval has been granted. Failure to comply will delay initial approval.

  • Project Approvals means all approvals, consents, waivers, orders, agreements, authorizations, permits and licenses required under Applicable Laws or under the terms of any restriction, covenant, easement or agreement affecting all or any applicable Phase of the Project, or otherwise necessary or desirable for the ownership, acquisition, construction, development, equipping, use or operation of the Project.

  • Prior Approval means written ap- proval by an authorized official evi- dencing prior consent.

  • Major Amendment means any change which is not a minor amendment.
