Amendment to Section 1 definition

Amendment to Section 1. Pledge of Security Subsection 1(e) of the Holdings Pledge Agreement is hereby amended to add the parenthetical phrase "(other than Xxxxx II)" after the phrase "a direct Subsidiary of Pledgor".
