AMEX Listing definition

AMEX Listing. Borrower has filed with the Commission all documents (including the Form 10 Registration Statement) that have been required to be filed by it with the Commission and AMEX. Schedule 3.30 sets forth a list of all documents filed by Borrower or Treecon with the Commission or AMEX in connection with the Spin-Off and the respective dates of filing of each such document. Borrower shall use its best efforts to maintain at all times the listing of its common stock on AMEX or, if Borrower elects, to maintain a listing of its common stock on any other national securities exchange.

Examples of AMEX Listing in a sentence

  • The Company shall be in compliance with the requirements of Section 713(a) of the AMEX Listing Standards and Requirements in connection with the issuance of the Shares.

  • Notwithstanding the foregoing, if any revision or amendment required by AMEX, other than with respect to the matters set forth in (i) through (iii) above, materially and adversely impacts the rights or benefits to be received by Purchaser under the Transaction Agreements, as reasonably determined by Purchaser, then the AMEX Listing Approval shall be deemed not to have been satisfied for purposes of the condition set forth in subsection (g) of Annex C.

  • Notwithstanding the foregoing, if any revision or amendment required by AMEX, other than with respect to the matters set forth in (i) through (iii) above, materially and adversely impacts the rights or benefits to be received by Purchaser under the Transaction Agreements, as reasonably determined by Purchaser, then the AMEX Listing Approval shall be deemed not to have been satisfied for purposes of the condition set forth in subsection (g) of Annex D.

  • If such approval or waiver is obtained, then, if required in connection therewith, the Company shall promptly commence the mailing to shareholders contemplated by the AMEX Listing Standards and Requirements.

  • The delivery of an Advance Notice and the issuance of shares of the Company's Common Stock thereunder shall in no event result in a violation of the AMEX Listing Standards, Policies and Requirements Section 713 (or any similar applicable section).

  • Prior to the Closing Date, Parent will file an application for the listing of shares of Parent Common Stock which comprise the Stock Merger Consideration, the Net Worth Reimbursement and the stock portion of the Additional Contingent Consideration (collectively, “Consideration Shares”) on the American Stock Exchange (“AMEX”) and shall use best reasonable efforts to cause such additional listing application to be approved by the AMEX Listing Qualification Office on or before the Closing Date.

  • The Company shall use its best efforts to obtain the approval of, or a waiver from AMEX with respect to the requirements of Section 713(a) of the AMEX Listing Standards and Requirements (the "20% Rule") in connection with the issuance of the Conversion Shares.

  • Specifically, after the Initial Closing, under no circumstances shall the Company issue Additional Notes and Preferred Stock if such issuance would result in a violation of any rule, regulation or standard adopted by the American Stock Exchange ("AMEX"), including Section 713 of the AMEX Listing Standards, Policies and Requirements ("Section 713").

  • The Parent Shareholders’ Approval shall have been obtained in accordance with the HKSE Listing Rules, the AMEX Listing Rules, the Hong Kong Companies Ordinance, the Hong Kong Securities Ordinance, the Bermuda Companies Act, the rules and regulations of the Bermuda Monetary Authority and the Parent’s Memorandum of Association and By-laws, and such approval shall not have been rescinded, revoked or otherwise withdrawn.

  • De-listing means, in respect of any relevant Securities, that the Exchange announces that pursuant to the rules of such Exchange, the Securities cease (or will cease) to be listed, traded or publicly quoted on the Exchange for any reason (other than a Merger Event or Tender Offer) and are not immediately re-listed, re- traded or re-quoted on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member state of the European Union).

  • AMEX means the American Stock Exchange.

  • ASX Listing Rules means the official listing rules of the ASX.

  • GEM Listing Rules the Rules Governing the Listing of Securities on GEM

  • Listing Market means the national securities exchange on which any securities of the Company are listed for trading, and if not listed for trading, by the rules of the Nasdaq Stock Market.
