  • Seller shall not assign, transfer, convey, encumber, sell, or otherwise dispose of, whether on a spot or forward basis, the Products associated with or otherwise available from the Project, including all Ancillary Service Attributes generated by or otherwise available from the Project or any future Environmental Attributes or Capacity Attributes associated with or otherwise available from the Project, in each case during the Delivery Term to any Person other than Buyer.

  • Subject to compliance with the Operating Restrictions, Seller agrees to operate the Storage Facility in such a manner that Discharging Energy delivered by Seller will meet all requirements for voltage level, harmonics, power factor, VARs, Ancillary Service Attributes and other electrical specifications required by the Transmission Provider and will have the capabilities to be dispatched manually by Seller as is necessary to comply with the provisions of this Agreement.
