and delivery of this Agreement by Borrower or the performance by Borrower of the transactions contemplated hereby except for the consent of the U.S. Bank National Association previously known as "Scripps Bank" and ▇▇▇▇▇▇▇ ▇▇▇▇▇, which consents Borrower hereby acknowledges it has received.
and delivery means (x) when used in respect of Shares and other Deposited Securities, their book-entry transfer in any Settlement System and (y) when used in respect of ADSs, either (i) the physical delivery of ADR(s) evidencing the ADSs, or (ii) the book-entry transfer and recordation of ADSs on the books of the Depositary or any book-entry settlement system in which the ADSs are settlement-eligible under any applicable law.

  • Notice of Guaranteed Delivery means the notice of guaranteed delivery in the form printed on green paper accompanying the Offer to Purchase and Circular;
