All Performance Stock Awards (other than Stock Awards that constitute Executive’s Annual Performance Award) granted by the Company to the Executive and outstanding immediately prior to such Qualifying Termination Upon Change of Control shall have their vesting accelerated at the applicable target (i.e., 100%) performance level, such that 100% of the then unvested shares subject to such Stock Award will be deemed vested and exercisable as of the date of termination of employment.
