Annual Services Fees for the Services are set forth in Schedule 3 and, subject to the terms of Sections 2.3.3 and 6.3, shall be invoiced monthly in twelve (12) equal payments commencing, for each of the Service Tower Services, on the applicable Handover Date.

Examples of Annual Services Fees in a sentence

  • During such period, Symetra shall remain obligated to pay the Annual Services Fees and other fees to ACS in accordance with the terms of this Agreement until such Services are terminated in accordance with this Section.

  • Further, upon the addition or divestiture of a Symetra Affiliate as described in Section 6.2.4, the Parties shall appropriately adjust all Baselines, and the then-current Annual Services Fees, to reflect the new Symetra Services volumes associated with such addition or divestiture.

  • Thereafter, on an annual basis commencing on the first anniversary of the last Handover Date to occur under this Agreement, the Parties shall adjust all such Baselines to be equal to Symetra’s actual average resource consumption for each such Baseline over the prior twelve (12) month period, with an appropriate corresponding adjustment to the then-current Annual Services Fees.

  • Annual Services Fees, if applicable, will be assessed in advance of the commencement of Services and on the anniversary date annually thereafter.

  • Except as provided in the preceding sentence, all costs and expenses associated with the Category 1 Software including, without limitation, license, maintenance and support, installation and implementation and/or Software Enhancements fees, are included in the Annual Services Fees.

  • Except as provided in the foregoing subsections (iii) and (vi), all costs and expenses associated with ACS’ Equipment Refresh-related and Software Enhancements-related obligations are included in the Annual Services Fees.

  • All costs and expenses associated with the Category 2 Software during the Term and the Disentanglement Period including, without limitation, license, maintenance and support, installation and implementation and/or Software Enhancements fees (but excluding any assignment-related consent fees as described above), are included in the Annual Services Fees.

  • All costs and expenses associated with the Category 5 Software including, without limitation, license, maintenance and support, installation and implementation and/or Software Enhancements fees, are included in the Annual Services Fees.

  • The parties may, but shall not be required to, review the Annual Services Fees payable hereunder for any possible or mutually acceptable adjustments that may be advisable given changed circumstances.

  • Notwithstanding the above, in any calendar year in which TERRA has revenues of less than $6,000,000, the Minimum Annual Services Fees shall be credited against the Annual License Fee.

Related to Annual Services Fees

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Annual Service Charge as of any date means the amount which is expensed in any 12-month period for interest on Debt of the Issuer and its Subsidiaries.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Processing Fees means all routine, generally applicable City-wide fees required by the City for processing applications and permits including, but not limited to, fees for land use applications, building applications, building permits, and certificates of occupancy.

  • Monitoring Services shall have the meaning set forth in Section 2(b) of this Agreement.

  • Auditing Services means those services within the scope of the practice of a certified public accounting firm licensed under Chapter 473 of the Florida Statutes, and qualified to conduct audits in accordance with government auditing standards as adopted by the Florida Board of Accountancy.

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Service Costs has the meaning ascribed thereto in Section 3.01.

  • Provider fee means the consideration paid for a service contract.

  • Total Service Charges means all charges, after application of all discounts and credits, incurred by Customer for Services provided under this Agreement, excluding Taxes, Governmental Charges, equipment, Company ILEC, Company Wireless, Document Delivery Fax, non-recurring, goods and services acquired by Company as Customer’s agent, international access that is passed-through (Type 3/PTT) or provided by Company (Type 1), charges for security services provided by a Cybertrust Security Service Provider listed in the Guide, and other charges expressly excluded by this Agreement.

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Extended school year services means special education and related services that are provided to a child with a disability and meet the standards of the State of Wisconsin. These services are provided beyond the normal school year of the local educational agency, in accordance with the individualized education program (IEP), and at no cost to the parents of the child.

  • Education Services means training services performed or delivered by Company.
