If the invoiced Subscription Fees are not paid on or before commencement of the Annual Subscription Term, then the subscription license shall lapse.

If Reseller licenses additional Licensed Software with respect to an Order over the course of the Order’s Annual Subscription Term, then Liquidware may prorate the renewal Subscription Fees for expiring subscription licenses to co-terminate the expiration of the new Annual Subscription Term with the expiration of the existing Annual Subscription Term.
