Annualized Run Rate means, as of any measurement date, (i) the amount of monthly rent and license fees appropriately recognized as revenue or recorded as an expense, as applicable, on an accrual basis in a manner consistent with GAAP in effect on such measurement date multiplied by (ii) twelve (12). Annualized Expense Run Rate means, as of any measurement date, (i) the average of the monthly amounts appropriately recorded as an expense on an accrual basis in a manner consistent with GAAP for the six months prior to the month in which such date occurs multiplied by (ii) two. Associate shall have the meaning set forth in Rule 12b-2 promulgated under the Securities Exchange Act of 1934, as amended.
