If the System has not achieved its Commercial Operation Date within one hundred eighty (180) days of the Anticipated Commercial Operation Date (as extended by Force Majeure events, third party delays, or as mutually agreed by the Parties) (the “Outside Commercial Operation Date”) then either Party may terminate this Agreement upon ten (10) days written notice to the other Party and without any liability for such termination.
