Antitrust Filings definition

Antitrust Filings shall have the meaning set forth in Section 5.7(a).

Antitrust Filings means all required filings under the HSR Act and all filings under other applicable Antitrust Laws required in order to consummate the transactions contemplated by this Agreement.

Examples of Antitrust Filings in a sentence

• Each party shall cooperate with the other party to the extent necessary to assist the other party in the preparation of its Antitrust Filings and, if requested, to promptly amend or furnish additional information thereunder.

• The Antitrust Filings shall be in substantial compliance with the requirements of the HSR Act, the EC Merger Regulation or other Laws, as applicable.

• Whenever any event occurs that is required to be set forth in an amendment or supplement to any Antitrust Filings, the Company or Parent, as the case may be, will promptly inform the other party of such occurrence and cooperate in filing with the applicable Governmental Body such amendment or supplement.

• Each of the Company and Parent will notify the other party promptly upon the receipt of (A) any comments from any Governmental Bodies in connection with any Antitrust Filings made pursuant hereto; and (B) any request by any Governmental Bodies for amendments or supplements to any Antitrust Filings made pursuant to, or information provided to comply in all material respects with, the requirements of the HSR Act.

• The Antitrust Filings shall be in substantial compliance with the requirements of the HSR Act or other Laws, as applicable.

Antitrust Filings has the meaning set forth in Section 2.4.

Antitrust Filings means any filings, notices, applications or other submissions under Antitrust Law.

Antitrust Filings means notification and report forms relating to the transactions contemplated by this Agreement filed with the United States Federal Trade Commission and the Antitrust Division of the United States Department of Justice as required by the HSR Act, as well as comparable pre-merger notification forms required by the merger notification or control laws and regulations of any applicable jurisdiction.

Antitrust Filings means any required filing or application under any antitrust, competition or other similar Applicable Laws that are designed or intended to prohibit, restrict or regulate actions having the purpose or effect of monopolization or restraint of trade or lessening competition through merger or acquisition, including the HSR Act and similar Applicable Laws of any jurisdiction.

Antitrust Filings is defined in Section 6.5(a).

Antitrust Filings means a filing required by the HSR Act with the United States Federal Trade Commission and the United States Department of Justice of a Notification and Report Form for Certain Mergers and Acquisitions or any other antitrust filing required by any applicable foreign Antitrust Laws, as may be amended and applicable from time to time.

Antitrust Filings means all applicable notifications to or filings with an antitrust or competition authority in the United States to consummate the Transactions.
