Apollo Investors definition

Apollo Investors has the meaning set forth in the preamble.

Apollo Investors means Apollo Real Estate Investment Fund IV, L.P., Apollo Investment Fund IV, L.P., Strategic Real Estate Investments I, LLC and their respective Permitted Assignees and Permitted Third Party Transferees.

Apollo Investors means, collectively, AIF V, AOP V, Apollo Netherlands A, Apollo Netherlands B and Apollo German Partners.

Examples of Apollo Investors in a sentence

• For purposes of this letter, (x) “Investor Sale” means of sale of Shares by an Apollo Investor in connection with or following a Qualified Public Offering, and (y) “Investor Percentage” means the percentage derived by dividing (i) the number of Shares held by all Apollo Investors immediately following the applicable Investor Sale, by (ii) the number of Shares held by all Apollo Investors as of the date hereof (subject to adjustment for stock splits etc.).

• The designation of Apollo Designees pursuant to Section 2.2 is a right but not an obligation of the Apollo Investors.

• Each of the management rights agreements between Parent and (i) the JPMP Investors and the Apollo Investors, (ii) Co-Investment Partners, L.P. and (iii) Weston Presidio Capital IV, L.P. and WPC Entrepreneur Fund II, L.P. shall survive consummation of the transactions contemplated by the Merger Agreement.

• The right of the Apollo Investors to designate Apollo Designees may be Transferred only to Permitted Transferees; provided, that such Transfer is otherwise in accordance with this Agreement and the Stockholders Agreement.

• The JPMP Investors, the Apollo Investors and the Other Marquee Investors are collectively referred to herein as the “Former Marquee Investors”.

Apollo Investors means Apollo Investment Fund V, L.P., a Delaware limited partnership, Apollo Overseas Partners V, L.P., a Cayman Island exempted limited partnership, Apollo Netherlands Partners V(A), L.P., a Cayman Island exempted limited partnership, Apollo Netherlands Partners V(B), L.P., a Cayman Island exempted limited partnership, Apollo German Partners V GmbH & Co KG, a German limited partnership, and any of their respective Permitted Transferees.

Apollo Investors means the Investors identified as the Apollo Investors on the signature pages hereto and any of their respective Affiliates.

Apollo Investors means Apollo Investment Fund V, L.P., Apollo Overseas Partners V, L.P., Apollo Netherlands Partners V(A), L.P., Apollo Netherlands Partners V(A), L.P., Apollo Netherlands Partners V(B), L.P., Apollo German Partners V GmbH & Co KG, and any of their respective Affiliated Funds.

Apollo Investors means each of the Persons set forth on Annex A-1 hereto under the heading “Apollo Investors”.

Apollo Investors shall have the meaning set forth in the recitals to this Agreement.

Apollo Investors has the meaning specified in Section 12.13.

Apollo Investors means AP VIII Pomegranate Holdings, L.P., a Delaware limited partnership, or any other investment fund managed by Affiliates of Apollo Global Management LLC that acquires Shares.
