close corporation means a close corporation within the meaning of the Close Corporations Act, 1984 (Act No. 69 of 1984);
meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;
Older person means an individual who is at least fifty-five (55) years of age and qualified to reside in a Housing For Older Persons Project.
special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.
Lock-in Period means the period of five consecutive years from the date of commencement of the policy, during which period the proceeds of the discontinued policies cannot be paid by the insurer to the policyholder or to the insured, as the case may be, except in the case of death or upon the happening of any other contingency covered under the policy.
Virtual Meeting means any general meeting of the Shareholders (or any meeting of the holders of any Class of Shares) at which the Shareholders (and any other permitted participants of such meeting, including without limitation the chairman of the meeting and any Directors) are permitted to attend and participate solely by means of Communication Facilities.
Paper ballot means a paper that contains:
Certificate of Beneficial Ownership means, for each Borrower, a certificate in form and substance acceptable to Agent (as amended or modified by Agent from time to time in its sole discretion), certifying, among other things, the Beneficial Owner of such Borrower.
Black woman-owned enterprise means an enterprise with at least 25, 1% representation of black women within the black equity and management portion.
Trafficking in persons means the recruitment, transportation, transfer, harbouring or receipt of persons, by means of the threat or use of force or other forms of coercion, of abduction, of fraud, of deception, of the abuse of power or of a position of vulnerability or of the giving or receiving of payments or benefits to achieve the consent of a person having control over another person, for the purpose of exploitation. Exploitation shall include, at a minimum, the exploitation of the prostitution of others or other forms of sexual exploitation, forced labour or services, slavery or practices similar to slavery, servitude or the removal of organs;
Member Secretary means the Member Secretary of the Board;
Shareholder of Record means the record owner of shares issued by an Investment Company or, in the case of joint ownership of such shares, all record owners, as designated (1) in the initial account application, or (2) in writing accompanied by a signature guarantee, or (3) pursuant to procedures as set forth in the Application.
General Meeting means the annual or any special general meeting of the Association.
Chairman means the Chairman of the Board;
physical meeting means a general meeting held and conducted by physical attendance and participation by shareholders and/or proxies at the Principal Meeting Place and/or where applicable, one or more Meeting Locations;
Disinterested Shareholder means a shareholder that is not an Insider to whom options may be granted under the Plan and they are not an Associate of any Insider.
Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;
Cabinet Secretary means the Cabinet Secretary for the time being responsible for matters relating to finance;
Official ballot means the ballots distributed by the election officer to the poll
Chairperson means the Chairperson of the Board;
Meeting of Members means an annual meeting of members or a special meeting of members;
relevant meeting means a meeting of the authority to consider whether or not to approve a proposal to dismiss a relevant officer; and
Voting Record Date means the date for determining the eligibility of Members to vote at the Special Meeting.
