Applicable Charter definition

Applicable Charter means (i) with respect to CCT II, the CCT II Charter, (ii) with respect to FSIC III, the FSIC III Charter and (iii) with respect to FSIC IV, the FSIC IV Charter.
Applicable Charter means a time charter in respect of the Vessel entered into by the Borrower which (inclusive of extension options) is capable of exceeding twelve (12) months.
Applicable Charter means, in relation to either Vessel, the time charter dated 9 May 2008 and made between the relevant Borrower, as owner and the Seller, as charterer (as the same may be amended from time to time) and any other time charter or other contract of employment entered into in respect of that Vessel by the relevant Borrower and which is for a term in excess of 12 months (including any extensions);

Examples of Applicable Charter in a sentence

  • If the amendment to the Applicable Charter contemplated by the Applicable Matters is approved by the applicable Requisite Vote, no appraisal rights shall be available to holders of Applicable Common Shares in connection with the Transactions.

  • Each holder of Company Interests shall be entitled to receive a portion of the Closing Cash Payment Amount and the Closing Number of Securities in accordance with the terms of the Applicable Charter Documents (as reflected in the Company Closing Statement).

  • The Company Closing Statement and the calculations and determinations contained therein shall be prepared in accordance with the Applicable Charter Documents, the DGCL and the applicable definitions contained in this Agreement.

  • Either a certified copy of each Applicable Charter relating to the relevant Vessel or evidence satisfactory to the Agent that the relevant Vessel is not employed at that time under an Applicable Charter.

Related to Applicable Charter

  • CFA Charter means the charter earned through the Chartered Financial Analyst program prepared and administered by the CFA Institute and so named on the day this Instrument comes into force, and every program that preceded that program, or succeeded that program, that does not have a significantly reduced scope and content when compared to the scope and content of the first-mentioned program;

  • Time Charter means the hire of a Vessel by which the charterer obtains possession and control of the Vessel for an agreed period of time or an agreed voyage.

  • Company Charter means the certificate of incorporation of the Company, as amended.

  • Bareboat Charter means the bareboat charter agreement to be executed by the Effective Date by the Borrower as owner and the Charterer as bareboat charterer.

  • Company Charter Documents means the Company’s certificate of incorporation and bylaws, each as amended to the date of this Agreement.
