Applicable Class Percentage definition

Applicable Class Percentage means on any date of determination the proportion (expressed as a percentage and carried out to the ninth decimal place) that the aggregate applicable Class Outstanding Amount owed to any Lender bears to the aggregate applicable Class Outstanding Amounts owed to all Lenders at such time; provided that, if, on such date of determination, no applicable Class Outstanding Amounts then exist, then the Applicable Class Percentage shall be determined based on the Applicable Class Percentage of such Lender most recently in effect, giving effect to any subsequent assignments.
Applicable Class Percentage means, as of any applicable time, with respect to any Class of Profits Interest Units, (i) the Outstanding Number of Profits Interest Units of such Class of Profits Interest Units divided by (ii) the total number of Units then outstanding, excluding the EPR Unit.
Applicable Class Percentage means, with respect to any Lender of any Class, the percentage of the aggregate amount of the Commitments of such Class represented by such ▇▇▇▇▇▇’s Commitment of such Class; provided that for purposes of Section 2.21 and corresponding provisions of this Agreement, when there is a Defaulting Lender, such Defaulting Lender’s Commitment shall be disregarded for any relevant calculation. In the event that the Commitments of any Class have expired or been terminated, the Applicable Class Percentage of any Lender of such Class shall be determined on the basis of the Revolving Credit Exposure of such Lender attributable to its Commitment of such Class that has expired or terminated, giving effect to any assignment thereof.

Examples of Applicable Class Percentage in a sentence

  • The Administrative Agent will promptly distribute to each Lender its Applicable Percentage or Applicable Class Percentage (or other applicable share as provided herein) of such payment in like funds as received by wire transfer to such Lender’s Lending Office.

  • The Administrative Agent will promptly notify each Lender of its receipt of each such notice, and of the amount of such Lender’s Applicable Class Percentage of such prepayment.

Applicable Class Percentage means, for any Contract and for any outstanding Class of Notes of any Series, the ratio that the Initial Principal Amount of such Class of Notes of such Series bears to the sum of the Initial Principal Amount of the outstanding Notes of all Classes of such Series.
