Applicable Note Purchase Agreement for any Note means the Note Purchase Agreement between the Fund and the original Eligible Purchaser to whom the Fund
(i) had issued the Note, or (ii) had issued any Note in cancellation of which the Note (or one or more Notes previously cancelled in exchange for the Note) had been issued.
