Applicable Prepayment definition

Applicable Prepayment has the meaning specified in Section 2.09(f).
Applicable Prepayment means any cash prepayment of any promissory note originally issued by any Person to the Company as payment of all, or any part, of the purchase price of any note or convertible note issued by the Company, as applicable, whether elected to occur or required to occur thereunder, as applicable.
Applicable Prepayment means any prepayment of Senior Notes pursuant to Section 10.3 or Section 10.4 in which Make-Whole Amount is due and owing.

Examples of Applicable Prepayment in a sentence

  • If a Term Lender fails to deliver a Rejection Notice to the Administrative Agent at or prior to the Rejection Deadline, such Term Lender will be deemed to have accepted its share of the Applicable Prepayment.

  • Prepayment/Variable Obligation: Applicable Prepayment Amount: For each Transaction, as set forth in the related Supplemental Confirmation.

  • Each prepayment made pursuant to this clause (b)(i) made in connection with a reduction of the Total Revolving Credit Commitment pursuant to clause (a)(i) above shall be accompanied by the payment of the Applicable Prepayment Premium, if any.

  • Notwithstanding anything to the contrary in this Section 2.05, upon at least ten (10) days prior written notice to the Administrative Agent, the Administrative Borrower may terminate this Agreement by Paying in Full to the Administrative Agent the Obligations, plus the Applicable Prepayment Premium, if any, payable in connection with such termination of this Agreement, and the Lenders’ obligations to extend credit hereunder shall terminate concurrently with such repayment.

  • Each prepayment made pursuant to this clause (b)(ii) shall be accompanied by the payment of (A) accrued interest to the date of such payment on the amount prepaid and (B) the Applicable Prepayment Premium, if any, payable in connection with such prepayment of the Term Loans.

  • All unpaid principal, accrued and unpaid interest, prepayment premiums (including any Applicable Prepayment Premium, if any), expenses and other Obligations in respect of the Term Loan shall be due and payable in full on the Term Loan Maturity Date or, if earlier, on the date on which the Obligations are declared due and payable pursuant to the terms of this Agreement.

  • The Borrower fails to (a) make any payment of principal, on the Term Loan when due, or (b) pay any other Obligations (including interest and any Applicable Prepayment Premium, if any) within three (3) Business Days after such Obligations are due and payable (which three (3) Business Day cure period shall not apply to payments due on the Term Loan Maturity Date).


More Definitions of Applicable Prepayment

Applicable Prepayment means any prepayment of Notes prior to the Make-Whole Note Repayment Date pursuant to Section 8.8 of the 1999 Note Agreement or 8.10 of the 2003 Note Agreement.

  • Applicable Prepayment Premium has the meaning specified therefor in the Fee Letter.

  • Applicable Prepayment Percentage means, at any time, for purposes of Section 4.02(e) and the definition of “Retained Excess Cash Flow Amount,” 50%; provided that, so long as no Default or Event of Default is then in existence, if the Total Leverage Ratio is less than 3.50:1.00 as at the last day of the most recently ended Fiscal Year of the U.S. Borrower (as set forth in an officer’s certificate delivered pursuant to Section 8.01(d) for the Fiscal Year of the U.S. Borrower then last ended), the Applicable Prepayment Percentage shall instead be 0%.

  • Acceptable Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(D)(3).

  • ECF Prepayment Amount has the meaning assigned to such term in Section 2.11(b)(i).

  • Prepayment means any prepayment, whether in part or in full, in respect of any Receivable.
