Applicable Service Fee definition

Applicable Service Fee means (except as provided otherwise in Section 4.2, 4.3 or 4.6):

Examples of Applicable Service Fee in a sentence

  • In the event of an extension of a Service pursuant to Article VIII, the Recipient of such Service shall be obligated to pay the Applicable Service Fee for such Service calculated as set forth on the applicable Service Schedule as the Applicable Service Fee payable during any period of extension.

  • Notwithstanding the foregoing, nothing herein shall be construed to alleviate the obligation of a Recipient of such discontinued Service to pay the Applicable Service Fee for such Service for the period prior to the discontinuation.

  • The Provider will provide Recipient with one or more monthly invoices reflecting: (a) the Services provided during the preceding month, (b) the Applicable Service Fee owed for each such Service for the preceding month and the Services Fee for the preceding month, and (c) any other charges incurred during the preceding month (to the extent known at the time of the invoice) under the terms of this Agreement, no later than 15 days following the end of a month.

  • Upon discontinuance of any Service pursuant to the foregoing sentence, the Recipient shall not be liable for payment of the Applicable Service Fee contemplated by the applicable Service Schedule for such Service for the period following the Early Termination Date.

  • In the event of a termination of a Service pursuant to Article VIII, the Recipient of such Service shall be obligated to pay the Applicable Service Fee for such Service calculated as set forth on the applicable Service Schedule through the end of the month on which such Service is terminated in accordance with the terms of this Agreement and the applicable Service Schedule.

  • To the extent LabCorp is unable, under applicable law or existing agreements, to invoice the appropriate payor and assume other billing activities for the Services pursuant to the prior sentence, (a) LabCorp shall not be obligated to pay LipoScience an Applicable Service Fee, and [***] = Certain information in this document, marked by brackets, has been omitted and filed separately with the Securities and Exchange Commission.

  • LabCorp will pay LipoScience a service fee equal to the Applicable Service Fee for each Test performed (except Tests which must be repeated on the same sample at the customer’s request for quality assurance reasons or Test results verification, and except Tests for which LabCorp does not invoice the appropriate payor and assume other billing activities as described in Section 2.2.b).

Applicable Service Fee means as defined in Section 4 of this Agreement.

Related to Applicable Service Fee

  • Service Fee means a fee charged by us to you for the administration of your credit facility.

  • Monthly Service Fee means a monthly charge to a member for continuing care and not as rent, or a daily prorated portion thereof.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.

  • Base Fee means the amount of compensation mutually agreed upon for the completion of Basic Services.

  • Management Fee shall have the meaning set forth in Section 10(a).

  • Annual Service Charge as of any date means the amount which is expensed in any 12-month period for interest on Debt of the Issuer and its Subsidiaries.

  • Utilization Fee shall have the meaning assigned to such term in Section 2.06(b).

  • Replenishment Amount has the meaning assigned to such term in Section 2.06(b).

  • Applicable Commitment Fee Rate shall mean the percentage rate per annum based on the Leverage Ratio then in effect according to the pricing grid on Schedule 1.1(A) below the heading “Commitment Fee.”

  • Three-Month Term SOFR means the rate for Term SOFR for a tenor of three months that is published by the Term SOFR Administrator at the Reference Time for any Floating Interest Period, as determined by the Calculation Agent after giving effect to the Three-Month Term SOFR Conventions.

  • Processing Fee means in relation to a Transaction Summary delivered:

  • referral fee means any form of compensation, direct or indirect, paid for the referral of a client to or from a registrant.

  • Hire Fee the hire fee specified in Item 13.

  • Total Service Charges means all charges, after application of all discounts and credits, incurred by Customer for Services provided under this Agreement, excluding Taxes, Governmental Charges, equipment, Company ILEC, Company Wireless, Document Delivery Fax, non-recurring, goods and services acquired by Company as Customer’s agent, international access that is passed-through (Type 3/PTT) or provided by Company (Type 1), charges for security services provided by a Cybertrust Security Service Provider listed in the Guide, and other charges expressly excluded by this Agreement.

  • Access Fee means a fee prescribed for the purposes of section 22(6) or 54(6), as the case may be;

  • Rental Fee A fee charged by the Contractor for the rental of a compactor or roll-off container.

  • Work-out Fee means a fee payable with respect to any Rehabilitated Mortgage Loan (other than any Non-Serviced Mortgage Loan), Serviced Companion Mortgage Loan or B Note, equal to the product of (x) 1.0% and (y) the amount of each collection of interest (other than default interest and any Excess Interest) and principal received (including any Condemnation Proceeds received and applied as a collection of such interest and principal) on such Mortgage Loan, Serviced Companion Mortgage Loan or B Note for so long as it remains a Rehabilitated Mortgage Loan.

  • License Fee means the amount payable by the licensee to DMRC as per rates offered by the Selected Bidder for utilization of licensed space and accepted by DMRC to be paid by the Licensee along with other charges and any kind of Central or State Taxes, local levies, statutory dues, etc. that may be payable by the licensee as per prevalent law.
