AppLogiq Group has the meaning set forth in the Distribution Agreement.

AppLogiq Group means (a) prior to the Effective Time, Lova, the AppLogiq Business and each Person that will be a Subsidiary of Lova as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of Lova; and (b) on and after the Effective Time, Lova, the AppLogiq Business and each Person that is a Subsidiary of Lova.

  • Except as provided in Article 3 with respect to the AppLogiq Group and the Logiq Group, nothing in this Agreement, express or implied, is intended to or will confer upon any Person other than the Parties and their respective Subsidiaries and their respective successors and permitted assigns and nothing in this Agreement, express or implied, is intended to or shall confer upon any other Person any legal or equitable right, benefit or remedy of any nature under or by reason of this Agreement.

  • As of the Business Transfer Date, Lova will, or will cause an applicable AppLogiq Group member to, provide to each Continuing Employee employment in a position at least comparable to that held by such Continuing Employee immediately before the Distribution.

  • Notwithstanding anything to the contrary herein, any AppLogiq Employee who is employed by a member of the Logiq Group in a non-US jurisdiction immediately prior to the Distribution, and who is required by applicable Law to transfer to a member of the AppLogiq Group in connection with the Transactions, will transfer automatically on the Business Transfer Date to a member of the AppLogiq Group in accordance with such applicable Law.

  • Notwithstanding anything in this Agreement to the contrary, neither Lova or any member of the AppLogiq Group, on the one hand, nor Logiq or any member of the Logiq Group, on the other hand, shall be liable under this Agreement to the other for any indirect, punitive, exemplary, remote, speculative or similar damages in excess of compensatory damages of the other arising in connection with the transactions contemplated hereby (other than any such Liability with respect to a Third-Party Claim).

  • Notwithstanding anything to the contrary in this Agreement, the Transaction Agreement or any Ancillary Agreement, Logiq may, in its sole discretion, cause the employment of any In-Scope Employee to be transferred to any entity within the AppLogiq Group at any time prior to the Distribution in connection with the Restructuring Plan.

  • Lova (or such member) shall be entitled to any Refund realized by any member of the Logiq Group or AppLogiq Group as a result of the carryback.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • ADT means Weighted Average Daily Traffic, or the ratio between (a) traffic to (b) the number of days in a given period of time. Traffic is the number of vehicle crossings in toll plazas or free toll roads in a given period of time.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians.   • CBS shall have the meaning set forth in the Preamble.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Customer Group means Customer and any of its Affiliates;

  • AMC means Annual Maintenance Contract

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • Sprint means a set period of time during which specific work is realized and made ready for review.

  • Combined Group means a group of corporations or other entities that files a Combined Return.
