Approval Right definition

Approval Right has the meaning assigned to that term in Section 3.02(c).
Approval Right means the requirement that the Grantee obtain the prior approval of the Board of Directors to any Transfer.
Approval Right means, wherever used in this Agreement, that the decision, action or matter in question is subject to and requires the prior written approval of Tulare 3, such approval not to be unreasonably withheld.

  • The Company shall submit any proposed action with respect to any Approval Right for consideration by SCG, together with information which sets forth in reasonable detail the background and reasons for such action, reasonably in advance of the date any action would be required to be taken by or on behalf of the Company to permit SCG to review the information and make an informed decision.

More Definitions of Approval Right

Approval Right means, following the delivery to the Agent of any certificate from the Independent Engineer, the right, but not the obligation of the Agent to review the amounts set forth in such certificate and to provide written notice to the Independent Engineer and the Borrower no later than three Business Day’s after its receipt of such certificate, of any adjustments to the calculations of Projected EBITDA or projected Capital Expenditures that Agent reasonably believes should be made. If Agent so notifies the Independent Engineer and the Borrower, then at the Independent Engineer’s or Borrower’s request, the Agent shall promptly provide the supporting documentation and rationale for such adjustments. The Agent and the Independent Engineer shall work together in good faith to resolve any dispute with respect to such adjustment expeditiously. Unless and until there is mutual agreement amongst the Agent and the Independent Engineer as to the Projected EBITDA and projected Capital Expenditures, the Agent shall not be deemed to have provided its consent. In the event that the Agent fails to provide written notice in accordance with the first sentence of this definition, the Agent shall be deemed to have approved the applicable certificate, effective after the first Business Day after the expiration of the three day notice period.
Approval Right has the meaning given to it in Clause 6.1. Articles of Association means the articles of association (statuten) of the Company, as amended from time to time. AZ Sponsor Representative has the meaning given to it in Clause 4.2. BC-EGM has the meaning given to it in Clause 6.2.

Related to Approval Right

  • Approval Notice means, with respect to any Eligible Loan Asset, the written notice, in substantially the form attached hereto as Exhibit A, evidencing the approval by the Administrative Agent, in its sole discretion, of the conveyance of such Eligible Loan Asset by the Transferor to the Borrower pursuant to the terms of the Purchase and Sale Agreement and the Loan Assignment by which the Transferor effects such conveyance.

  • Non-Approval Event means, in respect of the Benchmark:

  • Price Approval means, in any country where a Governmental Authority authorizes reimbursement for, or approves or determines pricing for, pharmaceutical products, receipt (or, if required to make such authorization, approval or determination effective, publication) of such reimbursement authorization or pricing approval or determination (as the case may be).

  • Application Approval Date means the date that the Application is approved by the Board of Trustees of the District and as further identified in Section 2.3.B of this Agreement.

  • Approval Date means the date by which the Approval Order has become a Final Order.
