Approved Options definition

Approved Options means certain options granted as options approved by HMRC as set out in part B of schedule 1;
Approved Options means (l) options to purchase up to 8,058,834 shares of Common Stock granted under the Corporation’s 2007 Stock Option Plan as in effect on the Issuance Date (or as such Plan may be amended upon receipt of the Requisite Approval), which grants received the Requisite Approval, and (2) any options to purchase or other rights to acquire shares of Common Stock granted under any other equity incentive plan, the adoption of which received the Requisite Approval and which grants received the Requisite Approval.

Examples of Approved Options in a sentence

  • For purposes of this Section, a Redemption/Distribution means and includes, with respect to a Covered Person, (i) any acquisition or redemption of any outstanding stock, membership interests or other equity interest, (ii) any retirement or prepayment of debt securities before their regularly scheduled maturity dates, and (iii) any loan or advance to a shareholder or partner (other than loans made to assist in the exercise of Approved Options).

  • There is no need to acknowledge your acceptance of this grant of Approved Options, as you will be deemed to have accepted the grant and the terms and conditions of the Subplan and this document unless you notify the Company in writing within sixty days that you have declined this grant.

  • In particular, Section 6 (Extension of the Terms of Options) of the Plan shall not apply to Approved Options granted under this Subplan.

  • Unless an earlier expiration date applies as a result of your termination of employment, these Approved Options expire on the tenth anniversary of the date of grant.
