A&R Charter definition

A&R Charter means the Amended and Restated Certificate of Incorporation of the Company effective as of the Effective Time as contemplated by the Merger Agreement, as may be amended and/or restated from time to time.
A&R Charter means the proposed fourth amended and restated certificate of incorporation to be adopted by Fusion pursuant to Charter Proposal A immediately prior to the Closing. The definition ofMerger Agreement” on page 3 of the proxy statement prospectus is hereby amended and restated as follows:
A&R Charter means the articles of incorporation of the Company, as filed on the date of this Agreement with the Secretary of the State of Nevada and as the same may be amended, modified, supplemented or restated from time to time.

  • Amended and Restated Certificate of Incorporation means the Amended and Restated Certificate of Incorporation of the Company, as in effect as of the Effective Date.

  • Company Bylaws means the bylaws of the Company, as amended.

  • Charter Agreement means an agreement made in accordance with Section 53G-5-303 that authorizes the operation of a charter school.

  • Company Certificate of Incorporation means the certificate of incorporation of the Company.

  • Articles of Association means the articles of association of the Company, as amended from time to time.

  • Memorandum and Articles means the amended and restated memorandum and articles of association of the Company currently in effect, as may be amended or restated from time to time.

  • Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.

  • Bylaws means the bylaws of the Corporation, as they may be amended from time to time.

  • Articles of Organization means the original documents filed to organize a limited liability company, as amended or restated by certificates of correction, amendment, or merger, by restated articles, or by other instruments filed or issued under any statute.

  • Certificate of Arrangement means the certificate of arrangement to be issued by the Director pursuant to subsection 192(7) of the CBCA in respect of the Articles of Arrangement;
