ARD Employees definition

ARD Employees means any person employed in, or assigned other than on a temporary basis to, the Business in any jurisdiction that has adopted Transfer Regulations.
ARD Employees means Employees employed by a Seller Employer for the purposes of the Business in the ARD Countries;

  • This Agreement shall be governed by, enforced under and construed in accordance with the laws of the State of Illinois, without giving effect to any choice or conflict of law provision or rule thereof, except that the provisions of this Agreement with respect to the ARD Employees shall instead be governed by, enforced under and construed in accordance with applicable local law.

  • Parent and Purchaser shall inform and consult in good faith with any appropriate representatives of the ARD Employees to the extent required by applicable Law.

  • Seller shall keep Purchaser reasonably informed regarding any information it or any of its Affiliates proposes to give to the ARD Employees and their representatives or any consultation it has with the ARD Employees and their representatives regarding this Agreement prior to Closing, and Purchaser will be offered the opportunity to attend and participate in any meetings prior to Closing at which information is given to, or there is consultation with, the ARD Employees and their representatives.

  • Seller and Purchaser shall inform and consult with any appropriate representatives of the ARD Employees to the extent required by the ARD and, subject to applicable Data Protection Legislation, provide such information and assistance in a timely manner as either party may reasonably require to enable the relevant party to comply with its obligations under ARD.

  • Nothing herein shall affect Seller's rights to enforce the provisions of Section 6.6 hereof on behalf of all or any of the Affected Employees or ARD Employees.

  • As the case may be, transfer of ARD Employees may be subject to consultation with affected employees or employee representatives or trade unions or works councils and/or prior authorization of relevant labor authorities if required by local Law or regulations.

  • Subject to the clarificatory wording in 7.1.1(a) and the provisions relating to the Closing Accrued Vacation and Service Award Amount, the Excess ARD Employees Amount and the Closing Retirement Obligation Amount, the provisions of this Agreement shall not apply to EMEA Employees.

  • In respect of all ARD Employees, and to the extent such payout is not allowed by law in respect of any other Transferred Business Employees, Purchaser shall recognize all unused vacation, sick leave and paid time off for all Transferred Business Employees accrued as of the Closing Date, which days and corresponding value shall be disclosed to Purchaser in the form of Section 5.7(g) of Seller Disclosure Schedules within fifteen (15) days after the Closing Date.

  • The Buyer or its Affiliates (as applicable) shall put in place employee benefit plans for the ARD Employees providing benefits that are consistent with such collective or similar agreements or are required under the Transfer Regulations or applicable local Law.
