Share Transfer Agreement, dated as of May 27, 2005, by and among, the Borrower, 4293746 Canada Inc., a corporation incorporated under the laws of Canada, 3218864 Canada Inc., a corporation incorporated under the laws of Canada, Link Limited, a corporation incorporated under the laws of the Bahamas, 4205235 Canada Inc., a corporation incorporated under the laws of Canada, 4205219 Canada Inc., a corporation incorporated under the laws of Canada, 4205227 Canada Inc., a corporation incorporated under the laws of Canada, and New Freedom Corporation, a corporation incorporated under the laws of the British Virgin Islands, as the same may be amended, supplemented, replaced or otherwise modified from time to time in accordance with this Agreement.
