Asset Threshold definition

Asset Threshold means the amount set out in Clause 13.2 (Asset Threshold). Authority any Commonwealth, State, Territory, local or foreign government or semi-governmental authority, court, administrative or other judicial body or tribunal, department, commission, public authority, agency, minister, statutory corporation or instrumentality, including the Partner Government. Budget the Budget set out in the Activity Proposal at Part C (Activity Proposal), as varied from time to time in accordance with this Agreement. Business Day a day that is a working day in the place where the act is to be performed or where the Notice is received. Change in Control in relation to an entity, a change in the direct or indirect power or capacity of a person to: determine the outcome of decisions about the financial and operating policies of the entity; or control the membership of the board of directors of the entity, whether or not the power has statutory, legal or equitable force or is based on statutory, legal or equitable rights and whether or not it arises by means of trusts, agreements, arrangements, understandings, practices, the ownership of any interest in shares or stock of the entity or otherwise, not including a change in control resulting from ordinary course trading on a stock exchange in the shares of the entity. Examples of Asset Threshold in a sentence

  • If any Asset is stolen, lost, damaged or destroyed, the Recipient must: reinstate the Asset (including using the proceeds of insurance) without using any Funds (unless DFAT's prior written consent is obtained to do otherwise); notify DFAT in writing if the Asset is valued above the Asset Threshold at the time of purchase; and this Clause 12 continues to apply to the reinstated Asset.

  • No disposition (or series of dispositions) shall be permitted if, following such disposition or series of dispositions, the aggregate book value of all assets of the Borrower and its consolidated Subsidiaries, taken as a whole, would be less than the Asset Threshold Value.

  • If any Asset is stolen, lost, damaged or destroyed, the Recipient must: reinstate the Asset without using any of the Funds (including using the proceeds of insurance) provided for this agreement (unless DFAT's prior written consent is obtained to do otherwise); notify DFAT in writing if the Asset is valued above the Asset Threshold at the time of purchase; and this Clause 13 (Assets) continues to apply to the reinstated Asset.

  • In the event that the Non-Guarantor Subsidiary Statement shows that any Non-Guarantor Subsidiary holds at any time total assets with an aggregate value exceeding the Non-Guarantor Total Asset Threshold, such Subsidiary shall no longer be a Non-Guarantor Subsidiary and shall be subject immediately to all obligations applicable to a Subsidiary set forth in this Agreement.

  • If the Board of Directors of the Company is not able to independently determine that the Target Business has a fair market enterprise value of at least the 80% Net Asset Threshold, the Company will obtain an opinion from an unaffiliated, independent investment banking firm which is a member of FINRA with respect to the satisfaction of such criteria.

  • The following companies shall be removed from the Peer Group listed on Annex B as of the end of the last day of the month (the "Adjustment Date") immediately preceding the month during which occurs the closing of the last transaction that causes the Asset Threshold or the Stock Threshold, as the case may be, to have been met: ▇▇▇▇ ▇▇▇▇▇▇▇ Corporation and SM Energy Company.

  • If the Net Asset Adjustment is negative (i.e., if Closing Net Assets are less than the Net Asset Threshold), the Purchase Price shall be decreased by the amount of the Net Asset Adjustment.

  • Mallinckrodt Petten Holdings B.V. does not conduct any business and has no assets or earnings, other than de minimis net assets not in excess of the Dutch Net Asset Threshold in the aggregate.

Related to Asset Threshold

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Ownership Threshold means, with respect to any Person, Beneficial Ownership of the greater of (A) 15% of the Common Shares at any time outstanding or (B) the percentage of the outstanding Common Shares Beneficially Owned by such Person on the date of this Rights Agreement, plus in the case of this clause (B) 1% of the Common Shares outstanding on such date.

  • Stated Threshold means total losses under the shared loss agreements in the amount of $41,000,000.00.

  • Indemnity Threshold has the meaning set forth in Section 9.3.
