Assigned Business definition

Assigned Business means, collectively, (a) the Know-How and all other tangible or intangible assets owned by the Seller or any of its Affiliates and required for, or generated from, its performance of the Research Program, and (b) any and all other assets, properties and rights owned by the Seller or any of its Affiliates pertaining to the business of the License Agreement.

Examples of Assigned Business in a sentence

  • All leave provided under this section shall be approved in advance by the appropriate administrator and reported as College Assigned Business on the Leave Report.

  • If a faculty employee at the request of a Division ▇▇▇▇ or appropriate administrator is required to attend a conference, meeting, workshop, or other activity that conflicts with the faculty employee’s scheduled duties, the faculty employee shall be granted College Assigned Business Leave.

  • College Assigned Business shall be indicated on the leave report but shall not result in leave deduction.

  • The City shall forward a monthly report to the Union and the Assigned Business Agent, which will include any all personnel actions (new hires, terminations, transfers, promotions, home address changes, etc.) within the Unit.

  • Step Two If the grievance is not satisfactorily settled as outlined in Step one (1), a written grievance may then be presented to the Branch Manager or his designated representative no later than five (5) working days after receipt by the Union Assigned Business Representative and/or Union Official of the decision rendered in Step One (1) hereof.

  • Quest's books and records are, and until the Closing will be, maintained currently and in good order so that Newco and/or its representatives may inspect the same and use the same, immediately upon and after the Closing, to conduct the Assigned Business.

  • Quest has all approvals, authorizations, consents, licenses, orders and other permits required to conduct the Assigned Business as it is now operated and as it is contemplated to be operated.

  • All information relating to Quest, the Assigned Business or the Assigned Assets which is known or, on reasonable inquiry, would be known to Quest or QAM and which may be material to a purchaser for value of all of the assets, businesses and operations of Quest has been disclosed in writing to UTS and Newco, and any such information arising on or before the Closing Date forthwith will be disclosed in writing to UTS and Newco.

  • Except for the Retained Assets, the Assigned Assets and the assets utilized in the Assigned Business under the agreements included in the Stated Liabilities, constitute all of the assets of Quest.

  • Newco shall have received all books and records of the Assigned Business.

Related to Assigned Business

  • Retained Business means any business now, previously or hereafter conducted by Seller or any of its Subsidiaries or Affiliates other than the Business.

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Excluded Businesses means Business types which are excluded from application for an Inter-Community Business Licence and includes those Business types referred to in Schedule “A”.

  • Retained Businesses means all businesses now, previously or hereafter conducted by Sellers or any of their Affiliates, other than the Businesses, and “Retained Business” specifically includes the Specified Retained Businesses.

  • Excluded Business means a Business excluded from application for an Inter- Community Business Licence and includes those Businesses referred to in Schedule A attached hereto and forming part of this bylaw.
