Assigned IP definition

Assigned IP means all Intellectual Property which is assigned to Buyers pursuant to the IP Assignment Agreement.

Assigned IP means (a) the Assigned Patent Rights; (b) the Patent Files (as defined in the Platform Agreement); (c) all inventions disclosed in the Assigned Patent Rights (other than those disclosed as prior art of a Third Party); and (d) the right to recover for past infringement of the Assigned Patent Rights.

• For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Assignor hereby assigns, transfers, sets over and conveys to Assignee, as-is, where-is, and Assignee hereby accepts and assumes, in each case, all of Assignor's rights and obligations accruing from and after the Effective Date, in, to, and with respect to (a) the Portfolio Agreement, (b) each of the NSA Asset Management Agreements, and (c) the Assigned IP.

• Such acts may include, but are not limited to, execution of documents and assistance or cooperation (i) in the filing, prosecution, registration, and memorialization of assignment of any applicable patents, copyrights, trademark, mask work, or other applications, (ii) in the enforcement of any applicable patents, copyrights, trademark, mask work, moral rights, trade secrets, or other proprietary rights, and (iii) in other legal proceedings related to the Assigned IP.

More Definitions of Assigned IP

Assigned IP shall have the meaning as set forth in Section 5(b) of the Stock Contribution Agreement.

Assigned IP means Company Patents in the Territory assigned or to be assigned to the Transferee pursuant to this Agreement, including Company Improvement Patent Rights. The Assigned IP as of the date of this Agreement is listed in Schedule 1.1 attached hereto.

Assigned IP means any Intellectual Property Rights in the Course Materials (including that created or provided by the Individual and/or Representatives not listed in the Schedule) other than Licensed IP. ‘Licensed IP’ means any Intellectual Property Rights incorporated within the Course Materials belonging to third parties (including the Individual or Representatives) set out in the Schedule.
