ASSIGNMENT AND PARTICIPATION definition

ASSIGNMENT AND PARTICIPATION. This Agreement shall be binding upon and enure to the benefit of the Bank and the Borrower and their respective successors and permitted assigns. The Bank may assign or transfer its rights, benefits and obligations under the Credit Facility to any other financial institution ("ASSIGNEE") subject to the prior consent of the Borrower, which consent shall not be unreasonably withheld. After any such assignment or transfer, the term "Bank" as used in this Agreement with respect to the Credit Facility (as appropriate) shall be deemed to be the Assignee to the extent of its interest. The Bank may sell participation in the Credit Facility to any third party, provided that no such participant shall have any rights under this Agreement as against the Borrower. In assigning, transferring or participating all or any part of its rights or obligations as aforesaid, the Bank may reveal to potential Assignees or participants all or any information regarding the Borrower or the Guarantor and their Subsidiaries as the Bank deems necessary or desirable. The Borrower may not assign any of its rights under this Agreement.
